L-3 Communications Announces Conversion Rate Adjustment for Its 3% Convertible Contingent Debt Securities ("CODES") Due 2035

(the “Company”) (NYSE: LLL - News) announced today that it has adjusted the conversion rate for its 3% Convertible Contingent Debt Securities (CODES) due 2035 (CUSIP Numbers: 502413AW7 and 502424AE4; ISIN Numbers: US502413AW73 and US502424AE49) (the “Securities”) in connection with the regular quarterly dividends of $0.35 per share of the Company’s Common Stock paid on each of September 15, 2009 and December 15, 2009 and the regular quarterly dividends of $0.40 per share of the Company’s Common Stock paid on March 15, 2010 and expected to be paid on June 15, 2010.

The new conversion rate is 10.1074 shares of Common Stock of the Company per $1,000 principal amount of the Securities, effective for conversions on or after May 17, 2010.

EADS could pick L-3 as partner for tanker bid


* BAE Systems, Raytheon out of running

* L-3, No. 8 Pentagon supplier, declines comment

* Top L-3, EADS officials served in Pentagon at same time

Defense News: WASHINGTON, April 6 (Reuters) - Europe's EADS (EAD.PA) would likely choose L-3 Communications Holdings Inc (LLL.N) as a key supplier, should it decide to challenge Boeing Co (BA.N) for a U.S. aerial refueling contract worth up to $50 billion, according to analysts and sources following the matter.

"Based on what we know today -- and things can change -- it appears that L-3 seems to be the likely subcontractor," Scott Hamilton of Leeham Co said, noting that there is a large faction within EADS that wants to move ahead with a bid.

Analysts say a strong agreement could help EADS in what is seen as an uphill battle against Boeing, maker of the current fleet of KC-135 aerial refueling tankers, especially given simmering protectionist sentiment among U.S. lawmakers.

EADS, the parent company of Airbus, has been in discussions with several companies, including L-3, Raytheon Co (RTN.N) and the U.S. unit of Britain's BAE Systems Plc (BAES.L).

But BAE Systems, which owned 20 percent of Airbus until 2006, is not joining the EADS team, said industry sources not authorized to speak on the record. BAE declined comment.

Massachusetts-based Raytheon also has no plans to join an EADS bid, company spokesman Jonathan Kasle said.

"From what I know, L-3 would appear to be the most likely candidate," said Loren Thompson with the Virginia-based Lexington Institute. Raytheon sold its major aircraft integration unit to L-3 in 2002, he noted.

L-3 spokeswoman Jennifer Barton said the New York-based company does not comment on rumors or speculation.

EADS declined comment on the latest chapter in a long-standing rivalry between Boeing and Airbus.

This is the Air Force's third attempt to begin replacing its KC-135s, which are nearly 50 years old on average.

EADS was a key subcontractor to Northrop Grumman Corp (NOC.N) when the team won the last tanker competition in February 2008, but the Pentagon canceled the deal months later after government auditors upheld a Boeing protest.

EADS DECISION AS SOON AS NEXT WEEK

Northrop withdrew from the competition last month after concluding that the revamped terms of the Air Force competition were skewed to favor Boeing's smaller 767-based tanker, not the larger A330-based tanker that Northrop and EADS were offering.

But the Pentagon told EADS, which would have provided about 87 percent of the plane's content, that it could bid as a prime contractor. Last week, defense officials said they would give EADS 60 extra days if it agreed to bid -- a significant extension, but short of the 90 days EADS had sought.

EADS, which had also wanted some changes in the request for proposals, is considering the Pentagon's offer. Industry sources expect a decision from EADS as soon as next week and say any announcement could name a U.S. partner.

Boeing said last week it was disappointed that EADS was trying to delay the tanker competition and was reviewing its options.

Analysts said an agreement to team up would clearly benefit L-3, which has been trying to expand its profile as a major player in the U.S. defense market. L-3 was the Pentagon's No. 7 supplier in fiscal 2009, with $7.1 billion in prime contracts, according to www.usaspending.gov, a federal website.

L-3 is the prime contractor on the Pentagon's Joint Cargo Aircraft, the C-27J. It is partnered on that deal with Alenia, a unit of Italy's Finmeccanica SpA (SIFI.MI).

That plane is "far smaller and less complex, but certainly along the same lines" as the refueling tanker, Leehams' Hamilton said.

EADS North America Chief Executive Sean O'Keefe has also known Robert RisCassi, the retired Army general who runs L-3's Washington office, for years.

RisCassi was vice chief of staff of the Army when O'Keefe was the Pentagon's comptroller in the late 1980s.

EADS NEEDS DOMESTIC POLITICAL COVER

But Lexington's Thompson said L-3 lacks the stature of bigger contractors like Northrop, Boeing or Lockheed Martin Corp (LMT.N) to undergird an EADS bid for the tanker work.

"EADS really needs a major aircraft integrator...to give it domestic political cover in the United States. They don't really need a partner at all, but an American imprint for purposes of presenting themselves to the political system."

An agreement with L-3 would not allow EADS to "present their team as having a big American footprint," Thompson said. "It will be obvious the government is buying a European plane if EADS prevails," he said.

EADS is the prime contractor for a large Army helicopter program, and also builds equipment for the U.S. Coast Guard and Department of Homeland Security.

Meanwhile, Boeing supporters in Congress argue that EADS should not be allowed to bid for the tanker work given a recent World Trade Organization ruling that the company benefited from illegal government subsidies, including aid to develop the A330 wide-body that it would pit against Boeing's 767 tanker.

The trade organization is due to rule on a European Union counter claim about illegal aid to Boeing in coming months.

Any EADS bid would also include many of the same companies that were involved in the joint Northrop-EADS bid, including General Electric Co (GE.N), Honeywell International Inc (HON.N), Rockwell Collins Inc (COL.N), Goodrich Corp (GR.N), and the U.S. unit of Britain's Cobham Plc (COB.L). L-3 Awarded F-16 Mission Training Center Contract Option



Defense News: NEW YORK--(BUSINESS WIRE)--L-3 Communications (NYSE:LLL - News) announced today that its Link Simulation & Training division has been awarded a $20.9 million contract option on the F-16 Mission Training Center (MTC) program. This contract option, received from the Aeronautical Systems Center's Training Systems Product Group at Wright Patterson Air Force Base, brings the total contract value on the program to $109.1 million.

Under the contract option, L-3 Link will build and deliver an F-16 MTC suite that includes four high-definition simulators. The BoeingCompany will provide the instructor/operator stations and brief/debrief systems. This marks the second four-ship F-16 MTC the U.S. Air Force has ordered from L-3 Link.

All F-16 MTC suites under order are being integrated with L-3 Link’s HD World simulation product line. HD World combines high-definition databases, image generation systems, physics-based processing technology and visual system displays to create highly realistic and relevant environments for F-16 pilot training. SimuSphere® HD, the visual display component to HD World, provides each simulator with an immersive, 360-degree field-of-view.

TSA Awards ID/IQ Contract for L-3 ProVision Checkpoint Screening System

Defense News ~ NEW YORK--(BUSINESS WIRE)--L-3 Communications (NYSE: LLL - News) announced today that it recently was awarded a $164.7 million indefinite delivery/indefinite quantity (ID/IQ) contract by the Transportation Security Administration (TSA) to supply the agency with millimeter wave (MMW) advanced imaging technology (AIT) systems to screen for explosives and other threats at security checkpoints. This contract vehicle makes L-3 eligible for future delivery orders for its ProVision™ MMW system.
“TSA’s award of this contract follows the recent designation of ProVision as a qualified checkpoint screening system,” said Thomas M. The technology used in the ProVision system utilizes safe, harmless radio waves to detect threats which may be hidden under a passenger’s clothing. Threat substances made from a wide variety of materials can be found with the ProVision, including both metallic and non-metallic threat items.

L-3 Agrees to Acquire Insight Technology, Expands Electro-Optical and Night Vision Business

Defense News ~ NEW YORK--February 19, 2010, (BUSINESS WIRE)--L-3 Communications (NYSE: LLL - News) announced today that it has entered into an agreement to acquire Insight Technology Incorporated (Insight). Insight develops and manufactures mission critical night vision and electro-optical equipment including laser aiming and illumination devices, laser rangefinders, laser markers and designators, night vision goggles and monoculars, and thermal imaging systems. Headquartered in Londonderry, New Hampshire, Insight employs approximately 1,100 people. Insight’s products are used by the U.S. military, federal law enforcement agencies and allied nations. The purchase price was not disclosed and will be funded with cash on hand.
The acquisition is anticipated to be completed in the second quarter of 2010, subject to customary closing conditions and regulatory approvals, and will be structured as an asset purchase for income tax purposes. Insight is expected to generate approximately $290 million of sales for the twelve months ending December 31, 2010. Before giving effect to the present value of tax related benefits of the transaction and expected synergies, the purchase price represents a multiple of approximately nine times estimated 2010 earnings before interest, taxes, depreciation and amortization (EBITDA). The acquisition is expected to be immediately accretive to L-3’s results of operations.

Army Selects L-3 to Supply Laser Marksmanship Training Systems

L-3 gets potential $250 mln U.S. drone deal

WASHINGTON, Sept 11 (Reuters) - L-3 Communications Holdings Inc (LLL.N) has won a U.S. Special Operations Command contract for remotely piloted aircraft support potentially worth up to $250 million, the Defense Department said on Friday. The one-year contract includes options for four one-year periods for the so-called Expeditionary Unmanned Aircraft System to back the command's fixed-wing aircraft, the Pentagon's daily contract digest said.
It said the contract was awarded through full and open competition. The unmanned aircraft is provided by L-3's Geneva Aerospace unit of Carrollton, Texas.

L-3 Awarded Army Technology Contract for Bradley Fighting Vehicles

NEW YORK- September 9, 2009, -(BUSINESS WIRE)--L-3 Communications (NYSE:LLL - News) announced today that its Combat Propulsion Systems and Magnet Motors divisions have been awarded a development contract by the U.S. Army to provide high power electrical generation for the Bradley Fighting Vehicle. The first phase for the Integrated Starter Generator (ISG) is underway, and L-3 will provide 10 system prototypes in the next two years.
Under this program, L-3 will integrate a permanent magnet starter generator and the associated power electronics with its 800 horsepower transmission. The L-3 ISG will be an integral component of the hydro-mechanical power transmission (HMPT), providing all needed vehicle electrical power, as well as the transmission disconnect clutch and auxiliary pump drive system.
“Our unique system will enable the Army to increase the power levels for its combat vehicle electrical systems, which will enhance the capability of the Bradley Fighting Vehicles,” said Charles J. Schafer, senior vice president and president of L-3’s Products Group. “We are very pleased to have successfully applied this technology for use on military vehicles.”
The L-3 HMPT-800-EG system will provide substantial electrical power generation for increasing mission loads and additional integration options for high capacity auxiliary loads for the Bradley Family of Fighting Vehicles. The Bradley G40 ISG is sized for power output of 70 to 160kW between 800 and 2800 rpm.

L-3 Receives $375 Million Contract In Support of U.S. Air Forces Europe

NEW YORK--(BUSINESS WIRE)--L-3 Communications (NYSE: LLL - News) announced today that its MPRI division has been awarded a follow-on contract by the U.S. Air Forces Europe (USAFE). This five-year IDIQ contract consists of a base year plus four option years, with a total contract potential of $375 million.
Under this contract, L-3 will provide the USAFE with a variety of advisory and assistance services (A&AS), including engineering and technical services; management and professional support; and studies, analysis and evaluation services to maintain and enhance government owned computer software and provide intelligence analysis support. These activities will be provided to the headquarters of the European Command and its subordinate commands throughout Europe.
Jim Jackson, senior vice president of MPRI’s International Group, noted that the company’s outstanding performance on the current USAFE A&AS contract resulted in this follow-on award.
