Alion Announces Proposed $300 Million Unit Offering

Defense News ~ MCLEAN, Va.--(BUSINESS WIRE)--Alion Science and Technology Corporation (“Alion”) today announced its intent to issue units (the “Units”) consisting of $300 million aggregate principal amount of Senior Secured Notes due November 2014 (the “Notes”) and warrants (the “Warrants”) to purchase shares of Alion common stock. Alion expects the Units will include Senior Secured Notes issued at a discount to the face amount of the Notes and guaranteed by certain subsidiaries of Alion. Alion also proposes to enter contemporaneously with the issuance of the Units into a new $25 million revolving credit facility maturing August 2014 which will replace Alion’s existing revolver. Proceeds from the offering will be used to repay all amounts outstanding under the company’s first-lien credit facility, extinguish existing subordinated notes and warrants, and pay related transaction fees and expenses.

The Units, Notes, guarantees and Warrants, and common stock underlying the Warrants, will not be registered under the Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. The Units, Notes and Warrants will be offered in the United States to qualified institutional buyers in a private offering exempt from the registration requirements of the Securities Act of 1933 pursuant to Rule 144A and outside the United States pursuant to Regulation S.

Alion Awarded $4.7M Task Order to Assess Operational Readiness of IT Products Throughout the Product Lifecycle

Defense News ~ MCLEAN, Va.--January 11, 2010, (BUSINESS WIRE)--Alion Science and Technology, an employee-owned technology solutions company, was awarded a $4.7 million task order from the Department of Veteran Affairs to support information technology (IT) product development and implementation.
Alion will assist the Veterans Health Administration (VHA) Office of Health Administration by establishing collaborative checkpoints for early identification and validation of critical business requirements and traceability throughout the Software Development Lifecycle (SDLC). Alion will also assess the ongoing effectiveness of IT products once they are deployed. The task order was awarded off of the General Services Administration MOBIS contract.

Alion Awarded $7M Contract to Support Navy's Improved Live Virtual Constructive Integration Research Program

MCLEAN, Va.-- On Wednesday September 2, 2009, (BUSINESS WIRE)--Alion Science and Technology, an employee-owned technology solutions provider, has been awarded a $7 million research and development contract to assist the Naval Air Warfare Center Training Systems Division (NAWC TSD) in solving several challenges associated with stimulating airborne Anti-Submarine Warfare (ASW) platforms and training environments.
Under the Improved Live Virtual Constructive (LVC) Integration research program, Alion will develop prototype computer interface technologies – known as Live Platform Integration -- for surface ship, submarine and aircraft platforms. The research will produce alternative methods for synthetic threat scenarios to be injected into Warfighters’ sensor and combat systems to improve training. Alion will assist NAWC TSD with virtual training technology integration and the development of advanced constructive technologies.

Alion Awarded $84.7 M Task Order to Support Naval Sea Systems IT Management

MCLEAN, Va. --- Alion Science and Technology, an employee-owned technology solutions provider, has been awarded an $84.7 million task order to support the Naval Sea Systems (NAVSEA) Command Information Officer (CIO) by consolidating and enhancing key IT systems, including the NAVSEA Intranet. The Alion team will support and manage the NAVSEA Legacy applications and operations as they transition into the Navy-Marine Corps Intranet (NMCI) program or the Navy Enterprise Resource Planning Tool. The team will also assist NAVSEA in defining requirements and design standards for its follow-on system, the Next Generation Enterprise Network (NGEN). In addition, NAVSEA is consolidating all of their external Web sites and migrating to single-point hosting while the internal sites are migrated to a Microsoft SharePoint-based system.
